Alice Group has partnered with KoreInside to launch Alice Market Place (AMP), a digital platform designed to bring institutional-grade private market opportunities to individual investors. By leveraging KoreInside’s white-label infrastructure, the marketplace bridges the gap between primary RegA+ capital formation and secondary trading, providing a regulated lifecycle for tokenized assets.

What was announced

Alice Group is deploying KoreInside’s infrastructure and white-label marketplace platform to power Alice Market Place (AMP). The platform is specifically engineered to handle RegA+ offerings, a regulatory framework that allows companies to raise capital from the general public rather than being restricted to accredited investors. The primary objective of the partnership is to provide a seamless transition from the initial investment phase to secondary market liquidity, creating what the companies describe as a "functioning capital market" for private assets.

To achieve this, AMP will integrate several regulated entities into its workflow: a FINRA-registered broker-dealer, a FINRA-regulated alternative trading system (ATS), and an SEC-registered transfer agent. KoreInside’s technology manages the entire ownership lifecycle, including investor onboarding, identity and compliance checks, and subscription processing. On the secondary side, the platform connects eligible securities to the ATS, with all transfers reflected through the SEC-registered transfer agent. Each transaction remains subject to applicable terms, investor eligibility requirements, and regulatory approvals.

A key component of the architecture is the use of tokenization. KoreInside’s infrastructure supports digital securities and auditable ownership records while maintaining strict identity, permissioning, and transfer controls. This ensures that while assets are tokenized for operational efficiency, they remain fully compliant with their governing documents and existing securities laws. The white-label nature of the platform allows Alice Group to deliver this experience under its own brand while utilizing a backend built for the complex requirements of issuers, investors, and regulated market participants.

"This is what we built KoreInside to do. Alice Group has a bold vision for opening institutional private market opportunities to individual investors. We are bringing the infrastructure together so an investor can enter through a RegA+ offering, have ownership properly recorded and administered, and, when eligible, access a regulated secondary market. The broker-dealer, ATS, transfer agent, and marketplace each have a distinct role. Connecting them is how we move from a digital offering to a functioning capital market."

The companies involved

KoreInside provides the technical and compliance framework necessary for the issuance and management of digital securities. The firm specializes in white-label marketplace solutions that integrate the various regulated roles required in a modern capital market, from broker-dealers to transfer agents. Its focus is on creating a connected architecture that supports the full lifecycle of an investment, particularly within the private markets. Under the leadership of Co-founder and CEO Oscar A. Jofre and Chief Scientist and CTO Dr. Kiran Garimella, the company has developed a technology stack that emphasizes auditable records and regulatory permissioning.

Alice Group is the organization behind Alice Market Place (AMP). Led by CEO Dilip Petigara, the group’s mission centers on democratizing access to institutional-quality private market opportunities. By focusing on RegA+ offerings, Alice Group aims to provide individual investors with the tools and transparency typically reserved for institutional players. This includes providing education and a clear view of ownership throughout the life of an investment. Both companies are operating at the intersection of traditional finance and blockchain technology, seeking to apply tokenization within the existing regulatory framework of the United States securities market.

What this means

The move toward RegA+ marketplaces signals a maturing of the "democratization of finance" trend. While many platforms have historically focused on the initial sale of private assets, the lack of secondary liquidity has often deterred retail participation. By integrating a FINRA-regulated ATS and an SEC-registered transfer agent from the outset, Alice Group and KoreInside are addressing the "liquidity trap" head-on. This puts pressure on traditional private equity and venture capital firms to reconsider how they interface with non-accredited investors. The industry is moving away from experimental digital assets toward the tokenization of regulated securities, where the technology serves the compliance requirements rather than bypassing them. The success of such platforms will likely depend on whether the regulatory overhead of maintaining an ATS can be offset by the volume of retail interest in private offerings. It raises a significant question for the sector: can institutional-grade assets truly thrive in a retail-heavy secondary market, or will the restrictions necessary for compliance stifle the very liquidity these platforms aim to create?
