Iberdrola, BBVA, and Santander have successfully arranged a €150 million corporate syndicated financing facility managed entirely through distributed ledger technology. This transaction represents a significant shift for the financial markets, as it is the first live syndicated loan to use blockchain for its entire lifecycle, from initial execution and disbursement to maturity and repayment.

What was announced

The €150 million facility was structured to demonstrate the viability of distributed ledger technology (DLT) in high-value corporate finance. Unlike previous pilot programs or limited-scope tests, this transaction utilized a digital infrastructure to manage every contractual event of the loan. This includes the calculation and notification of interest, the processing of principal and fee payments, early repayments, and the monitoring of financial covenants and information undertakings. The platform also handled the transfer of participations between the lending institutions and the processing of contractual consents.

The technology, developed by ioBuilders with support from BBVA and Santander, creates a single, synchronized, and immutable record of information. This replaces the traditional, labor-intensive reconciliation processes between separate bank databases with a shared source of truth. All participants can interact in an orderly manner under the operational control of the appointed agent bank, with all events recorded on the DLT infrastructure visible in real time to authorized parties. Gómez-Acebo & Pombo provided legal counsel for the transaction, ensuring the digital process maintained full legal validity. The participating institutions have indicated that following this live transaction, they intend to work on onboarding new participants and expanding the platform’s functionalities to move toward a broader shared infrastructure for the syndicated loan market.

"Innovation is part of Santander’s DNA. This transaction represents an important step forward in the evolution of syndicated financing, demonstrating how DLT-based technologies can bring greater efficiency, transparency and traceability to complex financial processes. It also highlights how digital assets are already generating tangible value for the business and contributing to the transformation of financial markets. At the same time, it lays the foundations for an industry collaboration model with the potential to redefine different aspects of corporate financing."

The companies involved

BBVA is a major international financial group with a strong presence in the Spanish market and a significant focus on digital transformation. The bank has been a frequent subject of industry analysis, with 44 previous reports in the FF News archives documenting its technological advancements. Iberdrola is a global energy leader that has placed digital innovation at the center of its treasury and financial strategy to streamline corporate processes. While this marks a significant milestone for the energy firm, it is its first appearance in FF News’ proprietary coverage data. Santander, through its Corporate and Investment Banking (CIB) division, is a dominant player in global debt markets and has been a vocal proponent of integrating digital assets into traditional banking. The platform used for the transaction was developed by ioBuilders, a specialist in DLT solutions for financial institutions, led by CEO Carlos Matilla. The collaboration between these three Spanish giants and a specialized tech provider highlights a concentrated effort to modernize the plumbing of the European capital markets.

What FF News has reported before

FF News has closely followed BBVA’s aggressive push into digital and automated services. The bank’s focus on high-tech integration was recently highlighted when BBVA Spain Taps AI to Accelerate Growth and Hyper-Personalize Customer Experience. Its ability to bridge banking with other sectors was also seen when BBVA and eDreams ODIGEO Launch Digital Banking Travel Integration in Europe. The bank’s international expansion and competitive product launches were covered in BBVA Italy Scores with Inter Milan Partnership and Competitive 4.25% Savings Rate. Furthermore, the bank’s reputation as a training ground for fintech leadership was noted when Marqeta Appoints Former Intuit and SoFi Executive Eugenia Gibbons as Chief Product Officer, citing her previous tenure at the institution.

What this means

The syndicated loan market has long been a bastion of manual processing, characterized by fragmented data and heavy reliance on email and spreadsheets for reconciliation. This move to a live, end-to-end DLT environment is a direct challenge to the status quo. By proving that a €150 million facility can be managed without the traditional "reconciliation lag," these institutions are putting immense pressure on other major agent banks to modernize or risk losing corporate clients who demand faster, more transparent treasury operations. The real test for the industry will be interoperability. As more banks develop their own DLT-based platforms, the sector must decide whether it will coalesce around a shared infrastructure or face a new kind of digital fragmentation.
